Terms of Service & Telephony Agreement

Statutory agreements, acceptable use standards, telephony wiretap disclosures, and 10DLC compliance policies governing Nova Voice and Novum Tech Lab LLC.

Last Updated & Effective: September 17, 2026

1. Acceptance of Terms & Service Scope

These Terms of Service ("Terms") constitute a legally binding agreement between Novum Tech Lab LLC ("Company", "we", "us", or "our") and the business entity or subscriber ("Customer", "you", or "your") accessing or utilizing the Nova Voice AI voice receptionist platform, inbound telephony lines, web voice widgets, and associated software services (collectively, the "Service").

By creating an account, connecting a telephone number, forwarding incoming calls, or deploying our voice widget, you agree to be bound by these Terms.

2. AI Voice Receptionist Disclosures (FCC & FTC Compliance)

Nova Voice utilizes advanced synthetic speech and large language models (specifically Google Cloud Vertex AI Gemini) to conduct dynamic, real-time conversations over public switched telephone networks (PSTN) and web interfaces.

In compliance with Federal Communications Commission (FCC) and Federal Trade Commission (FTC) guidelines regarding synthetic voice agents:

  • Identity Disclosure: Nova Voice agents do not disguise their automated nature. When prompted or configured by policy, the agent clearly states it is an automated AI assistant.
  • Permitted Use: The Service is licensed strictly for legitimate inbound call reception, customer service, appointment scheduling, and customer-consented callbacks.
  • Prohibited Outbound Telemarketing: Generating unsolicited robocalls, cold marketing broadcasts, or prohibited outbound telemarketing through the Service is strictly prohibited.

3. Call Recording & Two-Party Consent Compliance

Certain features of Nova Voice record audio streams, synthesize real-time transcripts, and store conversation summaries for customer service and appointment auditing.

Mandatory Customer Duty: Numerous jurisdictions (including California, Florida, Illinois, Pennsylvania, and Massachusetts) require all-party consent to record or monitor telephone communications. Customer agrees to ensure an automated audio notification (e.g., "This call may be recorded for quality assurance, scheduling, and training purposes.") is played to the caller at the beginning of each call.

Customer indemnifies and holds harmless Novum Tech Lab LLC against any claims, statutory penalties, or wiretap litigation arising from Customer's failure to provide mandatory recording disclosures.

4. TCPA & 10DLC Messaging Compliance

When Customer enables SMS alerts, appointment confirmations, or conversational texting via Telnyx:

  • Express Consent: Customer certifies that recipients of automated SMS confirmations have provided prior express consent to receive text notifications.
  • Mandatory Opt-Out: Our automated telephony engines support standard regulatory keywords. Senders and callers may text STOP, CANCEL, or UNSUBSCRIBE at any time to immediately cease messaging, or HELP for assistance.
  • 10DLC Campaign Vetting: Customer agrees to provide truthful business identification (Brand & Campaign registration) to prevent cellular carrier filtering.

5. Prohibition on Emergency Services (No 911 Support)

CRITICAL SAFETY WARNING: Nova Voice is a business receptionist platform and is NOT a Public Safety Answering Point (PSAP). Nova Voice CANNOT and DOES NOT connect callers to 911, public safety dispatchers, or emergency emergency medical personnel.

Customer must never advertise Nova Voice numbers as an emergency reporting line.

6. Subscriptions, Usage Quotas & Metered Overages

Nova Voice plans are billed in advance on a recurring monthly or annual basis via Stripe.

  • Minute Quotas: Each subscription includes an allotted volume of voice minutes per monthly cycle. Unused minutes do not roll over between cycles.
  • Metered Overages: Calls extending beyond the included tier allowance are billed at the published overage rate ($0.15 to $0.25 per minute) via Stripe metered billing.
  • Cancellation: Customer may cancel subscription renewal at any time via the self-service Stripe Customer Portal. Access remains active through the end of the paid billing period.

7. Customer Data Ownership & AI Privacy Guarantee

Customer retains 100% intellectual property ownership of all uploaded knowledge documents, customer lists, call recordings, and generated transcripts.

Enterprise AI Safeguard: Under Novum Tech Lab's enterprise agreements with Google Cloud, Customer call recordings, transcripts, and custom prompt directives are strictly isolated and are NEVER used to train, evaluate, or fine-tune public foundation models.

8. Limitation of Liability & Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVUM TECH LAB LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL NOVUM TECH LAB LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS.
